SECTION 1. DESIGNATION OF OFFICERS
The officers of the corporation shall be a President, a Vice President, a Secretary, and a Treasurer. One (1) person may hold any number of offices simultaneously without restrictions.
SECTION 2. QUALIFICATIONS
Any person may serve as officer of this corporation as long as he or she is a member in good standing.
SECTION 3. ELECTION AND TERM OF OFFICE
Officers shall be elected by the members at the annual meeting held at the Convention and shall hold that office for a period of two (2) years unless he or she resigns or is removed or is otherwise disqualified to serve. Election shall be held in odd numbered years.
SECTION 4. REMOVAL AND RESIGNATION
The Board of Directors may remove any officer, either with or without cause, at any time. Any officer may resign at any time by giving written notice to the Board of Directors or to the President or Secretary of the corporation. Any such resignation shall take effect at the date specified therein.
SECTION 5. VACANCIES
Any vacancy caused by the death, resignation, removal, disqualification, or otherwise, of any officer shall be filled by the Board of Directors. In the event of a vacancy in any office other than that of President. such vacancy may be filled temporarily by appointment by the President until such time as the members may elect another.
SECTION 6. DUTIES OF PRESIDENT
The President shall be the chief executive officer of the corporation and shall, subject to the control of the Board of Directors, supervise and control the affairs of the corporation and the activities of the officers. He or she shall perform all duties incident to his or her office and such other duties as may be prescribed from time to time by the Board of Directors. The President shall preside at all meetings of the Board of Directors and at all meetings of the members.
SECTION 7. DUTIES OF VICE PRESIDENT
The Vice President shall assist the President in his duties as the President may direct, shall act on behalf of the President in his absence or disability, and shall succeed to the office of President should the incumbent die, resign or otherwise be removed from office.
SECTION 8. DUTIES OF SECRETARY
The Secretary shall:
Keep an accurate record of membership containing the name and address of each member and, in the case where any membership has been terminated, he or she shall record such fact in the membership book together with the date on which such membership ceased.
Shall report the status of the Corporation to the Secretary of the State of Ohio as required by
law.
Shall record the minutes of all board and members’ meetings.
If the President or Vice-President is absent or unable to perform their duties, the Secretary
shall perform such duties.
See that all notices are duly given in accordance with the provisions of these Bylaws or as required by law.
Be custodian of the records and of the seal of the corporation and affix the seal, as authorized by law or the provisions of these Bylaws, to duly executed documents of the corporation.
Exhibit at all reasonable times to any director of the corporation, or to his or her agent or attorney, on request, the Bylaws, the membership book, and the minutes of the proceedings of the directors of the corporation.
At the expiration of his or her term of office, he or she shall return all property of the Corporation in his or her possession to the President or to his or her successor
In general, perform all duties incident to the office of Secretary and such other duties as may be required by law, by the Articles of Incorporation, or by these Bylaws, or which may be assigned to him or her from time to time by the Board of Directors.
SECTION 9. DUTIES OF TREASURER
The Treasurer shall:
Have charge and custody of, and be responsible for, all funds and securities of the corporation, and deposit all such funds in the name of the corporation in such bank as shall be approved by the Board of Directors.
Receive, and give receipt for, monies due and payable to the corporation from any source whatsoever.
Disburse, or cause to be disbursed, the funds of the corporation as may be directed by the Board of Directors.
Keep and maintain adequate and correct accounts of the corporation’s properties and business transactions, including accounts of its assets, liabilities, receipts, disbursements, gain and losses.
Exhibit at all reasonable times the books of account and financial records to any director of the corporation, or to his or her agent or attorney, on request.
Render to the President and directors, whenever requested, an account of any or all of his or her transactions as Treasurer and of the financial condition of the corporation.
Prepare the financial statements to be included in any required reports.
In general, perform all duties incident to the office of Treasurer and such other duties as may be required by law, by the Articles of Incorporation,, or by these Bylaws, or which may be assigned to him or her from time to time by the Board of Directors.
SECTION 10. STANDING OFFICES
The Board of Directors may appoint such standing offices, as deemed necessary, including but not limited to the following:
EDITOR: The editor shall edit and publish the Society’s newsletter, Chessie News, to be sent quarterly to all members.
EVENTS COORDINATOR: The events coordinator shall make every attempt to monitor any scheduled train show and to assist in the recruiting of members to man a booth at the show in order to educate the public, attract new members and to offer for sale, items relating to the Chessie System Historical Society.
LIBRARIAN: The librarian will create, administer, and implement policies for library functions. Arrange, organize and catalog CSHS print collections. Will review forthcoming books and establish relationships with publishers. Will provide reference resources for the membership. Maintain a database of relevant articles and other resources for use by the membership. Will draft a collection development policy for adoption by the Board. Seek out and acquire materials appropriate for collection including soliciting donations of previously published books and magazines as well as obtaining new materials. Will assure that methods and procedures used are in accordance with professional standards. Will review literature and publish review articles in the CSHS quarterly publication.
MERCHANDISING DIRECTOR: The merchandising director shall fill any orders received and forward the funds to the Treasurer.
OPERATIONS: The operations custodian will maintain any and all documents pertaining to the operations of the Chessie System Railroads, such as, but not limited to. timetables.
PAPER ARCHIVIST: The paper archivist shall maintain and act as custodian of any and all paper and documents relating to the Chessie System Railroads.
PHOTO ARCHIVIST: The photo archivist shall maintain and act as custodian of any photographs attained by the Society.
PRESERVATIONISTS: These members will be responsible for recruiting and organizing members to work on various projects of restoring, engines, cabooses and other rolling stock of the Chessie System Railroads.
